If you do not agree with any part of these Terms, you must not use our Services. These Terms form a legally binding agreement between you (or the business you represent) and Ninova AI.

Ninova AI provides AI-powered voice agents, AI chat agents, and related customer support automation solutions to businesses. Our Services may include real-time voice interactions, text-based conversations, appointment booking, lead capture, and integrations with third-party systems. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where feasible.

By using our Services, you agree that you will:

• Provide accurate, current, and complete information when signing up or contacting us.
• Use the Services only for lawful business purposes and in compliance with all applicable laws.
• Not attempt to reverse-engineer, disrupt, or misuse our AI systems or infrastructure.
• Ensure that end-users interacting with our AI agents are informed, where legally required, about the AI nature of the interaction and any recording or processing of conversations.
• Maintain the security of any credentials issued to you and notify us of any suspected unauthorised access.

All content, software, AI models, designs, trademarks, logos, and materials provided as part of the Services are the intellectual property of Ninova AI or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes only. You may not copy, modify, distribute, sell, or create derivative works from any part of the Services without our prior written consent.

Pricing for our Services is displayed on our website or provided in a written quote or agreement. We reserve the right to update our pricing at any time. Any price changes will apply to future billing cycles and will be communicated in advance for existing subscriptions.

Payments are due in accordance with the plan or agreement you have selected. Unless otherwise stated, subscriptions are billed in advance on a recurring basis. Failure to pay may result in suspension or termination of your access to the Services. All fees are exclusive of applicable taxes, which will be added where required.

You may cancel your subscription at any time in accordance with the terms of your plan. Cancellation will take effect at the end of the current billing period. Fees already paid are non-refundable except where required by law or expressly stated in your agreement with us. We reserve the right to suspend or terminate your access to the Services for material breach of these Terms.

To the maximum extent permitted by law, Ninova AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Services. Our total aggregate liability arising out of or relating to the Services shall not exceed the fees paid by you to Ninova AI in the twelve (12) months preceding the event giving rise to the claim.

The Services are provided on an "as is" and "as available" basis. While we work hard to ensure accuracy and reliability, AI-generated responses may occasionally be incorrect, incomplete, or unsuitable for a specific purpose. Ninova AI makes no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. You are responsible for reviewing AI outputs before relying on them for critical decisions.

Our Services may integrate with or rely on third-party providers, such as voice infrastructure, hosting, calendar systems, or CRM platforms. We are not responsible for the availability, performance, or content of third-party services, and your use of them may be subject to their own terms and privacy policies.

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data. By using the Services, you acknowledge that you have read and understood our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Ireland.
